1. Who we are and what these terms cover
These terms govern your use of aiactaudit.ai (aiactaudit.ai) and its apps (the "Service"), provided by Human Synthesis SRL, Sat Buciumeni, Comuna Buciumeni, nr. 279, Dâmbovița County, 137065, Romania, trade register J15/860/12.06.2024, VAT RO50224420, email contact@aiactaudit.ai ("we", "us"). By creating an account, placing an order or using the Service you accept these terms. If you use the Service for a business, you accept them for that business and confirm you may bind it. The Service is for businesses and professionals only, not for consumers.
2. The Service
aiactaudit.ai is an online register for experts who look after the EU AI Act work of several clients, such as external data protection officers and consultants. It offers:
- one workspace per client, with free guest access for the client's contact people and an intake link the expert controls;
- an inventory of each client's AI systems;
- a standardised, rule-based classification that the user runs, with the rule and the article shown;
- an obligations register with the article, the official link, the law version and the check date on every line;
- a timeline of statutory and client dates, with reminders by email and in the app;
- a change log and CSV export of your data;
- a law watch of official EU, German, Irish and Romanian sources, with alerts showing which of your clients a change concerns.
Plans (prices excl. VAT): the Expert plan costs EUR 49 a month for 1 user and 3 client workspaces with every feature, including the law watch; each extra active client workspace costs EUR 12 a month (archived workspaces are free); each extra user costs EUR 15 a month. Yearly billing: 10 months' price paid in advance for 12 months. New accounts get a 30-day free trial with every feature and no card. The prices in force are the ones shown on our pricing page and before you pay.
Parts of the Service use artificial intelligence. AI output can be incomplete or wrong; check important results before relying on them (see our AI notice: https://aiactaudit.ai/ai-notice).
The Service gives general information about the EU AI Act and tools to organise your work; it is not legal advice, not a legal service for an individual case, and does not replace a qualified lawyer. It is not a certification or conformity assessment, and we are not a notified body. Classification results are a standardised self-assessment based on the answers given; the user decides. No lawyer and no person at aiactaudit.ai reviews a client's case.
3. Your account
- You must be at least 18 and use the Service for your business or profession; you confirm this when you sign up.
- Give accurate information and keep it up to date. Keep your password and second factor secret; you are responsible for activity in your account unless it results from our fault.
- You are responsible for the people you invite (extra users and client guests) and for their access.
- Tell us at once at contact@aiactaudit.ai if you think your account is misused.
4. Acceptable use
You must not misuse the Service: no illegal content or activity, no infringing others' rights, no malware, no attempts to break security or access other accounts, no scraping or automated access beyond what we allow, no reselling without our permission, no use to train competing AI models, no overloading our systems. 5. Your content
- You keep the rights to content you enter or upload ("Your Content"). You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and adapt Your Content as needed to run, secure and improve the Service, for as long as it is in the Service plus backup periods.
- Where Your Content contains personal data, our data processing agreement (https://aiactaudit.ai/dpa) applies and we process that data only on your instructions. You accept it when you sign up.
- You confirm you have the rights to Your Content, that you may enter it into the Service, and that it does not break the law or these terms.
6. Prices and payment
- Prices are shown before you order, in euros (EUR), without VAT ("excl. VAT"). VAT is added or reverse-charged under EU rules, as calculated at checkout.
- Payment is taken by Stripe; we do not store your card details.
- Free trial: the trial lasts 30 days and needs no card. Nothing is charged automatically when it ends; you choose a plan or stop.
- Subscriptions are monthly or yearly and renew automatically for the same period until you cancel. Before you order we show the period, the price and how to cancel. You can cancel at any time in your account (/app/account/billing) with effect at the end of the paid period; we remind you 30 days before a yearly renewal.
- Yearly plans: if you cancel a yearly plan, we refund the unused months pro rata; a month that has started counts as used.
- Price changes: we may change subscription prices for valid reasons (costs, taxes, new features) with at least 30 days' notice by email; the new price applies from your next renewal, and you may cancel before it applies.
- Late or failed payments: after a reminder, the account becomes read-only. You can still export your data.
7. Our intellectual property
The Service, its software, design, brands and content (except Your Content) belong to us or our licensors. We give you a personal, non-exclusive, non-transferable right to use the Service under these terms. Feedback you send us may be used freely to improve the Service.
8. Availability and changes to the Service
We work to keep the Service available and secure but do not promise uninterrupted service; we may carry out maintenance, preferably announced. We may change or update the Service for valid reasons (security, legal changes, improvements, new technology). If a change materially and negatively affects your use of a paid Service, we give at least 30 days' notice and you may terminate free of charge and get a refund of the unused prepaid period.
9. Liability
- We are fully liable for death or personal injury caused by our negligence, for fraud, for intent and gross negligence, and for any liability that cannot be limited by law.
- Otherwise, our total liability under these terms is limited to the amount you paid us in the 12 months before the claim, or EUR 100 if you paid nothing.
- For business customers, we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill, except where the law does not allow this exclusion.
10. Suspension and termination
- You can stop using the Service and delete your account at any time (/app/account/delete).
- We may suspend or end your access, with notice and reasons unless the law or urgency prevents it, if you seriously or repeatedly breach these terms, do not pay, or if the law requires it. You can complain about our decision at contact@aiactaudit.ai.
- We may end the Service as a whole with at least 60 days' notice and refund unused prepaid periods.
- After termination, you can export your data for 30 days; then we delete it as the privacy policy says.
11. Changes to these terms
We may change these terms for valid reasons (new features, legal or regulatory changes, security). We tell you at least 30 days before material changes take effect, by email or in the Service, and ask you to accept them at your next sign-in. If you do not agree you can cancel before they apply; continuing to use the Service after that date means you accept them. Changes required by law may apply sooner.
12. Complaints and disputes
Contact us first at contact@aiactaudit.ai; we answer within 14 days.
13. Governing law and courts
- These terms are governed by Romanian law.
- Business customers agree to the exclusive jurisdiction of the competent courts for our registered office in Romania.
14. Other terms
If a term is found invalid, the rest stays in force. Our failure to enforce a term is not a waiver. You may not transfer your rights under these terms without our consent; we may transfer them to a company that takes over the Service, without reducing your rights. These terms, the data processing agreement (https://aiactaudit.ai/dpa), the privacy policy (https://aiactaudit.ai/privacy) and any order confirmation are the whole agreement. The terms are available in English, German and Romanian; in case of conflict, the English version prevails.
